Monthly Plan, Ownership, and License Terms

Introduction

This document sets out the detailed terms governing RCKSTRT's monthly plan option, the software license granted during the monthly plan term, buyout options, and the conditions under which ownership of project deliverables transfers to you.

These terms are incorporated into and form part of the RCKSTRT Terms of Service and apply to all project engagements that include a recurring monthly plan or deferred-ownership structure. Where a signed project agreement, partnership agreement, proposal, or checkout confirmation specifies different terms, those project-specific terms control for that engagement.


1. Monthly Plan

1.1 What the Monthly Plan Is

A monthly plan is a recurring monthly billing structure in which:

  • RCKSTRT develops and delivers a custom software application ("Project Deliverables");
  • you pay a kickoff deposit before work begins and then make recurring monthly payments over a defined term;
  • RCKSTRT retains ownership of the Project Deliverables during the monthly plan term; and
  • ownership transfers to you when the monthly plan term is completed in full or when an applicable buyout amount is paid.

The monthly plan uses recurring subscription billing for a custom software engagement. It is not a consumer loan or credit application, and RCKSTRT does not run consumer credit checks to activate it.

1.2 Monthly Plan Terms at Checkout

The following terms are disclosed at checkout and confirmed in your project or partnership agreement:

Pass-through runtime costsIf RCKSTRT creates or maintains project-specific infrastructure or service accounts during the monthly plan term, the related third-party subscription, usage, and hosting charges may be forwarded to you as separate charges or invoices.
Cancellation pathHow to stop future recurring charges, including contacting hi@rckstrt.com and, where available, using the Stripe billing portal.

1.3 Monthly Payment Obligations

Monthly payments are due automatically on the billing date established at checkout. By activating the monthly plan, you authorize RCKSTRT and Stripe to charge your saved payment method on each billing date for the amount confirmed at checkout.

You are responsible for ensuring your payment method remains valid throughout the monthly plan term. If a payment fails, RCKSTRT will retry the charge as described in the Payment and Refund Policy. Persistent failure to make payments constitutes a default (see Section 5).

1.4 No Partial Ownership During the Monthly Plan

Making monthly payments does not convey partial ownership of the Project Deliverables during the monthly plan term. Until the full monthly plan term is completed or the buyout amount is paid in full, RCKSTRT retains full legal ownership of the Project Deliverables. Your rights during this period are limited to the software license described in Section 2.

1.5 Statements and Records

Payment confirmations are sent to your account email after each successful charge. You may view your billing history and monthly plan progress within the platform dashboard. You are responsible for maintaining records of your own payments for tax and accounting purposes.


2. Software License During the Monthly Plan Term

2.1 License Grant

Upon delivery of the Project Deliverables and subject to your continued compliance with payment obligations and these terms, RCKSTRT grants you a:

  • limited — only to the extent necessary for your authorized business use;
  • non-exclusive — RCKSTRT may use the same tools, background IP, and platform internally or for other clients;
  • non-transferable — you may not sublicense, assign, resell, or transfer the license to any third party without RCKSTRT's prior written consent;
  • revocable — the license may be suspended or terminated upon default or breach (see Section 5); and
  • royalty-free during the monthly plan term — no additional license fee beyond the agreed monthly payments.

2.2 License Scope

Under this license you may:

  • operate and use the delivered software for your internal business or end-user-facing purposes as described in the project scope;
  • configure, customize, or maintain the software using RCKSTRT-provided access credentials;
  • access the source code for the purpose of reviewing, maintaining, or operating the software (if source code access is included in your project agreement); and
  • allow your employees and contractors to use the software in connection with your business operations.

Under this license you may not:

  • sell, sublicense, resell, or commercially distribute the software as a standalone product to third parties;
  • transfer the software license to any other party without RCKSTRT's prior written consent;
  • remove, alter, or obscure any proprietary notices, attribution, or branding embedded by RCKSTRT (unless agreed in the project scope);
  • use the software to develop a competing product without RCKSTRT's written consent; or
  • copy, replicate, or reverse-engineer RCKSTRT's internal platform tools, design systems, or Background IP incorporated into the deliverables.

2.3 Source Code Access

Access to source code during the monthly plan term is subject to the terms of your project or partnership agreement. If source code access is provided:

  • you may use the source code to review, configure, and maintain the software;
  • you may not use the source code to circumvent the buyout or ownership transfer process; and
  • source code access does not by itself constitute an ownership transfer.

2.4 Hosting and Infrastructure During the Monthly Plan

Unless your project agreement provides otherwise:

  • RCKSTRT may host the delivered software on your behalf during the monthly plan term using infrastructure in your name or RCKSTRT's infrastructure;
  • if RCKSTRT creates or controls project-specific runtime accounts during the monthly plan term, the related third-party subscription, usage, hosting, and infrastructure costs remain your responsibility and may be forwarded to you as separate charges or invoices as disclosed at checkout or in the project agreement;
  • if hosted on your own infrastructure, you are responsible for those costs; and
  • RCKSTRT is not responsible for infrastructure costs after ownership transfer.

3. Buyout Options

3.1 What a Buyout Is

A buyout allows you to complete your ownership path early by paying a lump-sum amount in lieu of the remaining monthly payments. Exercising a buyout:

  • satisfies all remaining payment obligations under the monthly plan;
  • triggers the ownership transfer process described in Section 4; and
  • does not require you to complete the remaining monthly payment term.

3.2 Buyout Amount

The buyout amount is the present value of your remaining monthly payments under the monthly plan, calculated as of the date of the buyout request. Your specific buyout amount at any point in your monthly plan term is:

  • disclosed in your project or partnership agreement at checkout; or
  • available upon request by contacting hi@rckstrt.com.

The buyout amount may differ from the simple arithmetic sum of remaining payments if your agreement includes a discount for early payoff or if a formula is specified in your project agreement.

3.3 How to Exercise a Buyout

To exercise your buyout option:

  1. Contact RCKSTRT at hi@rckstrt.com with the subject line "Buyout Request" and include your account name and project name.
  2. RCKSTRT will confirm the current buyout amount within 5 business days.
  3. Upon your confirmation, RCKSTRT will issue a one-time invoice for the buyout amount.
  4. Payment of the buyout invoice cancels the remaining monthly subscription and initiates the ownership transfer process.

RCKSTRT will not unreasonably delay confirming a buyout amount or initiating the transfer process after the buyout amount is received.

3.4 Buyout Is Final

Buyout payments are non-refundable once processed. Exercising a buyout terminates the recurring monthly subscription billing for the monthly plan and transitions the engagement to the post-ownership-transfer terms described in Section 4.


4. Ownership Transfer

4.1 When Ownership Transfer Is Triggered

Ownership of Project Deliverables transfers to you when all of the following conditions are satisfied:

  1. Payment condition: either (a) all monthly payments under the monthly plan term are completed in full, or (b) the applicable buyout amount has been paid in full.
  2. No outstanding obligations: no overdue amounts, unpaid change order invoices, or unresolved billing disputes exist on your account at the time of transfer.
  3. Administrative handoff: the handoff steps described in Section 4.3 are completed.

Reaching the payment condition does not complete the transfer automatically. RCKSTRT will not unreasonably withhold or delay initiating the transfer process once the payment condition is met and no outstanding obligations exist.

4.2 Written Confirmation

Ownership transfer is effective upon written confirmation from RCKSTRT. This confirmation may be delivered by email or through the platform. You should retain this written confirmation as your record of ownership transfer.

4.3 Administrative Handoff Steps

Completion of the ownership transfer may require the following steps, as applicable to your project:

  • Repository transfer: transfer of the source code repository to your GitHub, GitLab, or other version control account.
  • Credential handoff: transfer of deployment credentials, API keys, environment variables, and service account access to your control.
  • Domain and DNS: confirmation that domain names and DNS records are under your control or transferred to you.
  • Infrastructure migration: if hosted on RCKSTRT infrastructure, migration documentation and assistance to move the application to your own hosting environment.
  • Third-party account migration: transfer or re-establishment of third-party service accounts (e.g., payment processor, email service, database) in your name.
  • Documentation delivery: delivery of any applicable technical documentation, architecture notes, or handoff materials.

RCKSTRT will cooperate in good faith to complete all applicable handoff steps within a reasonable timeframe after the payment condition is satisfied. Delays caused by your failure to establish third-party accounts, provide required access, or respond to handoff requests may extend the transfer timeline without liability to RCKSTRT.

4.4 What You Own After Transfer

Upon completion of the ownership transfer, you own:

  • the custom application code developed specifically for your project;
  • project-specific configuration files, database schemas, and deployment scripts developed for your project; and
  • documentation produced specifically for your project.

You do not own (and receive only a non-exclusive license to use, where applicable):

  • RCKSTRT's Background IP, internal tools, design systems, reusable libraries, or platform infrastructure incorporated into the deliverables;
  • open-source components, which remain subject to their respective open-source licenses; and
  • third-party services, APIs, or licensed components, which remain subject to their respective terms.

4.5 Post-Transfer Responsibilities

After ownership transfer is complete:

  • you are solely responsible for maintaining, securing, updating, and operating the software;
  • you are responsible for all infrastructure, hosting, and third-party service costs;
  • RCKSTRT has no ongoing obligation to support, maintain, or update the software unless a separate post-delivery support agreement is in place; and
  • any warranties provided under the Service Agreement apply only to the warranty period defined therein; after that period expires, the software is provided "as is."

5. License Suspension and Termination

5.1 Events That May Trigger Suspension or Termination

The software license granted under Section 2 may be suspended or terminated if:

  • a monthly payment is not received within the grace period stated in the Payment and Refund Policy (10 calendar days after the due date);
  • you cancel the monthly plan subscription;
  • you materially breach the Terms of Service, this document, or the applicable project or partnership agreement and do not cure the breach within 14 days of written notice;
  • your account is terminated by RCKSTRT for cause under the Terms of Service; or
  • you enter bankruptcy, insolvency, or make an assignment for the benefit of creditors.

5.2 Suspension Process

Before terminating the license for non-payment, RCKSTRT will:

  1. notify you by email at the address associated with your account when a payment fails;
  2. allow the automatic retry and grace period described in the Payment and Refund Policy to run; and
  3. send a further notice if the account enters missed-payment status after the grace period.

Suspension for other breaches will be preceded by written notice and a cure period of 14 days unless the breach is not curable or involves fraud, misrepresentation, or a legal compliance requirement.

5.3 Effect of Suspension

During a license suspension:

  • your access to the platform workspace may be restricted;
  • RCKSTRT may pause active hosting of the software (if hosted on RCKSTRT infrastructure);
  • you retain no right to use the delivered software until the suspension is lifted; and
  • RCKSTRT retains ownership of the Project Deliverables.

Suspension does not forgive or cancel outstanding payment obligations. Overdue amounts remain due.

5.4 Reinstatement

The license may be reinstated upon:

  • payment of all overdue amounts, including any applicable late fees stated in the project or partnership agreement; and
  • written confirmation from RCKSTRT that the license has been reinstated.

RCKSTRT will not unreasonably withhold reinstatement after all overdue amounts are paid and any breach is cured.

5.5 Effect of Termination

Upon termination of the license:

  • your right to use the delivered software ends immediately;
  • RCKSTRT retains ownership of the Project Deliverables;
  • you must cease using and, if applicable, decommission or return the software;
  • all outstanding payment obligations remain enforceable; and
  • RCKSTRT is not required to provide a refund of amounts already paid, except as described in the Payment and Refund Policy.

Termination of the license does not release you from payment obligations incurred prior to termination.

5.6 Continuation Path After Default

If the license is terminated due to non-payment, you may still exercise a buyout to obtain ownership of the Project Deliverables provided that:

  • all overdue amounts (including missed monthly payments) are paid in full; and
  • the full remaining buyout amount is paid.

RCKSTRT will honor a buyout request within a reasonable time after a default if you bring the account current and submit a formal buyout request as described in Section 3.3. RCKSTRT reserves the right to decline a buyout in cases of fraud, misrepresentation, or material breach not remedied by payment alone.


6. Outright Purchase Engagements

For engagements structured as an outright purchase (not a monthly plan):

  • the full project cost is due as stated at checkout or in the invoice;
  • no software license period applies — ownership transfers upon receipt of full payment and written confirmation from RCKSTRT; and
  • the administrative handoff steps in Section 4.3 apply equally to outright purchase engagements.

Outright purchase payments are non-refundable except as described in the Payment and Refund Policy.


7. Partner Program Monthly Plan Terms

Partner program participants may be offered modified monthly plan terms as part of their partnership agreement. These modifications may include:

  • a reduced kickoff deposit or deposit credit applied as part of the partnership structure;
  • adjusted monthly payment amounts;
  • a modified total term or buyout calculation;
  • launch support, audience development resources, or co-marketing credits in lieu of or in addition to monetary payment adjustments; and
  • performance-based payment structures tied to defined milestones or launch outcomes.

Modified terms are governed by the specific partnership agreement and supersede the general monthly plan terms in this document where they conflict. Partner program participants are still subject to the license, ownership transfer, and license termination provisions in this document except where the partnership agreement specifies otherwise.


8. Changes to These Terms

We may update these Monthly Plan, Ownership, and License Terms from time to time. If we make material changes, we will notify you by email or through the platform at least 14 days before the changes take effect.

Material changes will not retroactively alter the monthly payment amount, term, or buyout amount confirmed at the time of your checkout for an active engagement, unless we obtain your written consent or as required by applicable law.
