Terms of Service

1. Agreement to Terms
By creating an account, accessing, or using the RCKSTRT platform ("Service", "Platform"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, our Payment and Refund Policy, and our Acceptable Use Policy (together, the "Agreements"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
If you do not agree to these Terms, do not use the Service.
2. Service Description
RCKSTRT is a software application studio platform operated by RCKSTRT ("we", "us", "our"). The Service includes a website, shared client workspace, admin dashboard, project intake forms, partnership and referral tools, payment collection, file delivery, project collaboration features, and related communications. Features may change, be added, limited, or offered in beta at any time.
2.1 Project Services
RCKSTRT helps founders, entrepreneurs, small businesses, and approved partners request, plan, monitor, approve, and pay for custom software development projects, including web application, mobile application, and cross-platform product work.
Project scope, deliverables, timelines, pricing, and acceptance criteria may be governed by a proposal, order form, statement of work, project agreement, or the approval flow within the platform. If any such document conflicts with these Terms, the project-specific agreement controls for that engagement.
We review all project submissions and partnership inquiries manually. We may accept, decline, pause, defer, or conditionally accept any engagement at our sole discretion unless otherwise agreed in writing.
2.2 Creator and Partner Collaborations
We may offer referral, creator, talent, or brand partnership programs. Participation is subject to approval, additional eligibility requirements, and separate payout or collaboration terms communicated during onboarding. Referral rewards, credits, discounts, collaboration opportunities, and launch support are conditional on continued compliance with program terms and may be changed, suspended, or withdrawn at our discretion unless otherwise agreed in writing.
2.3 Platform as Workspace
The platform provides a shared workspace for project communication, file exchange, approval workflows, billing, and delivery tracking. Access to the workspace does not constitute a guarantee of project start, delivery timeline, or any particular outcome.
2.4 AI-Assisted Features
Some features may use automated or AI-assisted systems. By using these features, you authorize us to process the content you submit — including prompts, files, project notes, and requirements — with third-party AI model providers to deliver the requested output. AI outputs may be inaccurate, incomplete, or unsuitable for your purposes. You remain responsible for reviewing, editing, and approving any AI-generated content before relying on or distributing it.
2.5 Beta Features
We may release features in beta that are experimental, subject to change, and provided without warranty. Beta features may be discontinued at any time without notice.
3. Eligibility and Accounts
3.1 Age and Authority
You must be at least 18 years old and have full legal capacity to enter into these Terms on behalf of yourself or your organization. By using the Service, you represent and warrant that these conditions are met.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorized by you. Notify us immediately at hi@rckstrt.com if you suspect any unauthorized access to your account. We are not liable for losses caused by unauthorized account access that results from your failure to safeguard your credentials.
3.3 Accurate Information
You agree to provide accurate, current, and complete information when creating your account and to keep that information updated. Accounts created with false information may be suspended or terminated without notice.
3.4 Account Types
The platform supports two primary account types: client accounts and partner accounts. Your account type affects the features, flows, and communications available to you. Account types may be changed subject to review and approval.
4. Intellectual Property and Ownership
4.1 Your Content
You retain ownership of project materials, files, copy, prompts, designs, feedback, brand assets, and other content you submit to the Service ("Your Content"). By submitting Your Content, you grant RCKSTRT a limited, non-exclusive, worldwide, royalty-free license to host, process, transmit, reproduce, and use Your Content solely as necessary to provide the Service, perform project work you request, and maintain, secure, and improve the platform.
You represent and warrant that you own or have all necessary rights to Your Content and that it does not infringe any third-party rights.
4.2 Our Technology and Platform
RCKSTRT retains all rights, title, and interest in and to the Service, including all software, workflows, templates, documentation, internal tools, design systems, platform infrastructure, and improvements. Except as expressly stated in these Terms or a written project agreement, no rights are granted to you.
4.3 Project Deliverables — License Before Ownership Transfer
Unless and until ownership is formally transferred in accordance with Section 4.4, RCKSTRT retains ownership of all application code, project infrastructure, deployment configuration, and related materials developed for your project ("Project Deliverables"), subject to any contrary written agreement.
During an active monthly plan, you receive a limited, non-exclusive, non-transferable license to use the delivered software for your authorized business purposes only. This license is contingent on continued compliance with payment obligations and these Terms.
4.4 Ownership Transfer
Ownership of Project Deliverables transfers to you only when all conditions stated in the applicable checkout flow and project or partnership agreement are satisfied. For monthly plan engagements, those conditions are generally either:
- all required monthly payments under the monthly plan are completed; or
- the applicable buyout amount is paid in full.
Reaching ownership eligibility does not complete the transfer automatically. Transfer may also require administrative handoff steps, credential transfers, repository transfers, infrastructure migration documentation, and written confirmation from RCKSTRT. RCKSTRT will not unreasonably delay completing a transfer after eligibility is confirmed.
For outright purchase engagements, ownership transfers upon receipt of full payment and written confirmation.
4.5 Third-Party Components
Project Deliverables may incorporate open-source software, third-party libraries, or licensed components. Those components remain governed by their respective licenses. We will disclose material third-party components in the project agreement or technical scope documentation.
4.6 Feedback
If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant RCKSTRT a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and incorporate that Feedback into the Service or any other product without restriction or obligation to you.
4.7 Portfolio and Case Study Rights
Unless you request otherwise in writing before project completion, RCKSTRT may reference your project as part of its portfolio and case study materials, including describing the type of work performed, the general product category, and the outcome, without disclosing confidential business information.
5. Payments
5.1 Pricing and Quotes
Project pricing, deposits, monthly plan terms, outright purchase amounts, buyout amounts, milestone payments, and related terms may be displayed in the pricing page, dashboard, checkout flow, invoice, or project-specific agreement. Published prices are informational estimates and may change unless confirmed in a proposal, checkout flow, or written project agreement for a specific engagement.
5.2 Kickoff Deposit
A kickoff deposit may be required before project work begins. Unless otherwise stated in a written project or partnership agreement:
- the kickoff deposit is non-refundable once onboarding, planning, or project setup work has begun, as described in the Payment and Refund Policy;
- the kickoff deposit may be credited toward the total project cost or ownership path as described in the project or partnership agreement; and
- project work may be delayed, paused, or declined until the kickoff deposit is received.
5.3 Monthly Plan
If you choose the monthly plan:
- you agree to the monthly payment amount and term shown at checkout;
- ownership does not transfer until the full monthly plan term is completed or the applicable buyout amount is paid;
- your right to use the software is a license, not ownership, until transfer is completed;
- if payments stop, are missed for more than the grace period described in the Payment and Refund Policy, or the plan is cancelled, the software license may be suspended or terminated; and
- RCKSTRT may retain ownership of the Project Deliverables unless and until the applicable buyout amount is paid in full, subject to any contrary written agreement.
The monthly plan uses recurring subscription billing for a custom software engagement. It is not a consumer loan or credit application, and RCKSTRT does not run consumer credit checks to activate it.
Early payoff of the remaining monthly plan balance may be available as a buyout option and does not require completion of the full monthly term.
5.4 Outright Purchase and Buyout
We may offer one-time outright purchase or buyout options for applicable projects. Payment of the full outright or buyout amount satisfies the ownership transfer conditions described in Section 4.4, subject to completion of any administrative handoff steps.
5.5 Additional Charges
Approved scope changes, change orders, rush work, third-party licensing costs, infrastructure costs, and other agreed additions to the original project scope may be billed separately as described in a change order, invoice, or written approval within the platform.
5.6 Payment Authorization
By providing a payment method, you authorize RCKSTRT and its payment processors to charge that method for all approved deposits, subscriptions, invoices, buyouts, change orders, applicable taxes, and other agreed amounts associated with your account. You authorize us to store payment method identifiers for recurring billing and, where applicable, to initiate automatic retries for failed payments.
In some cases — such as for waitlist participation or project scheduling — a payment method may be collected and stored before any charge is created. Saving a payment method in this context does not create a payment obligation unless you proceed with an engagement that requires a deposit or purchase.
5.7 Currency
All prices are denominated in US Dollars (USD) unless otherwise stated.
5.8 Taxes
You are responsible for all applicable taxes, duties, levies, and government-imposed fees associated with your use of the Service and project engagements, unless RCKSTRT is legally required to collect and remit them. If you are tax-exempt, you must provide valid documentation before payment is processed.
5.9 Refunds
Refunds, if any, are governed by the Payment and Refund Policy incorporated into these Terms by reference.
6. Suspension and Termination
6.1 Termination by You
You may stop using the Service at any time by contacting us at hi@rckstrt.com. Canceling a project, monthly plan, waitlist request, or partnership inquiry does not automatically entitle you to a refund or release you from payment obligations already incurred under a confirmed project or partnership agreement.
6.2 Suspension or Termination by Us
We may suspend or terminate your access to the Service, with or without notice, for any of the following reasons:
- non-payment or persistent late payment;
- breach of these Terms, any Project Agreement, or the Acceptable Use Policy;
- misuse, fraud, or misrepresentation;
- legal compliance requirements or regulatory orders;
- extended inactivity combined with no active project or payment obligations; or
- discontinuation of the Service.
Where feasible, we will provide reasonable advance notice before terminating accounts that are in good standing.
6.3 Effect of Termination
Upon termination:
- your access to the Service and workspace will be disabled;
- if a monthly plan is cancelled or enters default, the software license granted under Section 4.3 may end and ownership may remain with RCKSTRT unless buyout conditions are satisfied;
- you remain responsible for all payment obligations incurred prior to termination; and
- we may retain project records, payment records, referral records, and related operational data as required for legal, accounting, security, and contractual purposes, consistent with our Privacy Policy.
Data export requests should be submitted before account closure. We are not obligated to retain or return data indefinitely after termination.
7. Acceptable Use
You agree to comply with our Acceptable Use Policy, incorporated into these Terms by reference. Violation of the Acceptable Use Policy may result in suspension or termination of your account.
8. Privacy and Data
Our Privacy Policy explains how we collect, use, share, and protect your information. By using the Service, you acknowledge and agree to the data practices described in our Privacy Policy.
9. Electronic Communications
By creating an account, you consent to receive electronic communications from RCKSTRT, including transactional emails related to your account, projects, payments, approvals, and platform updates. You can manage notification preferences in your account settings where applicable. Certain transactional communications required for account security and billing are not optional.
10. Third-Party Services and Links
The Service may integrate with or link to third-party services, including Stripe for payments, Supabase for infrastructure, Sentry for error monitoring, and others. Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for the practices of third-party services.
11. Warranties and Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR A WRITTEN PROJECT AGREEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RCKSTRT DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT PROJECT DELIVERABLES WILL MEET ALL OF YOUR REQUIREMENTS OR THAT THE SERVICE WILL BE COMPATIBLE WITH ALL DEVICES OR SOFTWARE ENVIRONMENTS.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

RCKSTRT'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU ACTUALLY PAID TO RCKSTRT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

RCKSTRT IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY, INCLUDING CONTRACT, TORT, NEGLIGENCE, OR STRICT LIABILITY.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless RCKSTRT and its officers, directors, employees, agents, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:
- your use of the Service in violation of these Terms;
- Your Content, including any claim that it infringes a third-party's rights;
- your violation of any applicable law or regulation; or
- any dispute between you and a third party in connection with your use of the Service.
14. Confidentiality
Each party may receive confidential information of the other in connection with a project engagement. Both parties agree to use confidential information only for the purposes of performing or receiving the Service and not to disclose it to third parties without prior written consent, except as required by law. This obligation does not apply to information that is publicly available, independently developed, or disclosed with the other party's consent.
15. Force Majeure
Neither party is liable for delays or failures in performance caused by circumstances beyond their reasonable control, including natural disasters, pandemics, acts of government, internet outages, infrastructure failures, or civil unrest. Affected parties must notify the other promptly and resume performance as soon as reasonably possible.
16. Dispute Resolution
16.1 Informal Resolution First
Before initiating formal proceedings, you agree to contact us at hi@rckstrt.com and give us a reasonable opportunity (not less than 30 days) to resolve the dispute informally.
16.2 Binding Arbitration
If the dispute is not resolved informally, it will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer or Commercial Arbitration Rules, as applicable, except as stated in Section 16.3. The arbitration will be conducted in English. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
16.3 Exceptions to Arbitration
Either party may bring an individual claim in small claims court if it qualifies. Either party may also seek injunctive or other equitable relief in court to prevent infringement of intellectual property rights or unauthorized use of the Service.
16.4 Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST RCKSTRT. DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY.
16.5 Governing Law
These Terms and any disputes arising from them are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
17. General Provisions
17.1 Entire Agreement
These Terms, together with the Privacy Policy, Payment and Refund Policy, Acceptable Use Policy, and any applicable Project Agreement or Partnership Agreement, constitute the entire agreement between you and RCKSTRT regarding the subject matter herein and supersede all prior agreements and understandings.
17.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
17.3 Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
17.4 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.
17.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
17.6 Notices
Notices to us should be sent to hi@rckstrt.com. We may provide notices to you via email or through the platform.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the platform at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
